The terms of service set forth below are a legally binding Agreement between us, Papertracc Technologies Limited also referred to as "PaperTracc" and the User of our services.PaperTracc is a financial operating system designed for modern agencies and firms that have outgrown spreadsheets.It streamlines your invoicing, automates bills and expense claims with AI, and organises payment vouchers in one place. These Terms of Service detail PaperTracc's obligations to its User. It also highlights the benefits of using our Services. Users must read and consider these carefully, and will be bound by the provisions of this agreement through your use of this web App, mobile app, open APIs, or any of our services. The access to and use of this Platform(Website and App) implies that the user has read and accepted our Terms of Use.If you disagree with any part hereof, do not access the Platform.
2. Applicable Laws
These Terms of Use shall be interpreted and governed by the laws of the Federal Republic of Nigeria.Disputes arising from this Agreement shall be governed by and construed in accordance with Nigerian law and other international laws if need be. Any dispute arising out of or relating to this agreement, including any question regarding its existence, validity, contractual obligation, or termination by the Parties, shall be settled through informal and formal discussions between the Parties. PaperTracc and the User both undertake to comply fully with all applicable legal obligations and statutes, laws, regulations, directives or requirements made by any governmental authority or equivalent body of competent jurisdiction.
3. Permission
Permission is thereby granted to download any copies of materials(information or software) on PaperTracc website for personal, non - commercial, commercial transitory viewing and usage only. This License constitutes a limited, non - exclusive, revocable grant of rights to access and use the Materials available on the PaperTracc website, and does not transfer any ownership or title in the Materials to the User.Subject to the terms of this License, you may view, download, and print the Materials for your personal, non - commercial use only, provided you maintain all copyright, trademark, and other proprietary notices intact. You expressly agree that you will not, and will not attempt or permit any third party to: • Modify, copy, distribute, republish, upload, post, transmit, or create derivative works from the Materials(except as expressly permitted herein); • Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of any software, code, or technology embedded in or accessible via the Site; • Remove, obscure, or alter any copyright, trademark, patent, or other proprietary rights notices, labels, or marks included in or on the Materials; or • Transfer, sublicense, lease, lend, mirror, frame, or "deep-link" the Materials(or any portion thereof) to another person, entity, server, website, or other location or medium for any purpose, including without limitation commercial distribution or resale. • Any unauthorized use of the Materials or breach of these restrictions will terminate this License immediately and may result in civil and criminal liability.PaperTracc reserves all rights not expressly granted herein. This is the grant of a license, not a transfer of title, and under this license Users shall not modify or copy the materials, attempt to decompile or reverse any software contained on PaperTracc website, remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or “mirror” the materials on any other server.
4. Warranties and Liabilities
It should be noted that in no event shall PaperTracc or its employees be liable for any damages(including without limitation, damage for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on PaperTracc. The following holds under this agreement: 1. You may not assign, license or transfer any of your obligations under these Terms to any third party. 2. We may freely assign our rights and obligations under these Terms. 3. The enforceability or otherwise of any clause, sub - clause or provision of these Terms shall not affect in any way the enforceability of the remainder of these Terms. 4. A person who is not a party to this agreement has no right to enforce any of these Terms, but this does not affect any remedy available. 5. PaperTracc warrants that, for the duration of your use of the Services, the application is up to date and valid.We also reserve the right to suspend our Services at any time if we find that the use of this app breaches the warranty in these terms.
5. Proprietary Rights
All intellectual property rights in the PaperTracc Services are owned exclusively by PaperTracc.PaperTracc grants you a limited, revocable license to access and use the Services solely during the term of your subscription or account, after which all rights automatically revert to PaperTracc. The User acquires no ownership or other intellectual property rights in the Services, except for the limited right to use them as expressly permitted under these Terms.To protect your access, you must maintain a secure and confidential password and comply with all applicable security requirements.
6. Our Liabilities and Responsibilities
PaperTracc shall provide Services with reasonable skill and care.However, PaperTracc shall not be responsible for any failure to deliver the Services resulting from factors outside of its control, or any failure on the User part to maintain an online connection between the user systems and PaperTracc, or provide PaperTracc with accurate information as reasonably requested by PaperTracc to perform its Services.

8. Registration
To use PaperTracc, you have to create an account by signing up and to complete this process you would also have to provide us with certain information that personally identifies you. Signing up is done with a business email address, and then an OTP is sent to verify the email address These verification processes would give you access to our platform. Later in the profile page, information such as your email, first name, last name, phone number, and a picture of your logo is required. Note that you are required to select your country of residence. In maximizing the total use of this app, the profile is divided into two forms: 1. The Personal Profile, and 2. The Business Profile. In these profiles names, address, tags, passwords, business socials, website, phone number are required to effectively customize each profile. It is very important for users to input correct details of their information so that they can fully enjoy PaperTracc services and products. Note that you give express permission to all these by filling in your details on the mobile App.You also have the right to refuse to authorize the use and / or disclosure of your Personal Information.However, if you choose to exercise this right, you may not be able to utilize some features of the Services we provide.
9. Non-Refund Policy
PaperTracc operates on a postpaid subscription - based model designed to provide businesses with ongoing access to our comprehensive suite of services and tools.PaperTracc offers flexible payment options, allowing organizations to choose the most suitable billing cycle that best fits their budgeting and operational preferences. Each business is fully responsible for carefully evaluating and selecting the subscription plan that most effectively aligns with its unique needs, scale, and long - term objectives. Please be advised that all payments made to PaperTracc are strictly non - refundable.This policy is in place to ensure the sustainability of our services and applies universally, regardless of the circumstances whether the subscription remains fully utilized, partially used or even unused due to changes in business priorities or any other unforeseen factors. As a result, all payments are considered final upon processing.By subscribing, you explicitly acknowledge and agree that PaperTracc will not provide refunds, credits, prorated adjustments or any form of reimbursement for any unused portion of the subscription term.We encourage all prospective subscribers to review their requirements thoroughly before committing to a plan to avoid any potential dissatisfaction.

13. Services
PaperTracc will provide services to its Users and subscribers subject to these Terms of Service. PaperTracc is committed to delivering high availability and will use commercially reasonable efforts to ensure the Services remain accessible 24/7, barring any unforeseen circumstances. In the rare event of exceptional or unscheduled maintenance that may temporarily interrupt access, PaperTracc will endeavor to notify its User ahead of time through reasonable channels, including prominent postings on its website, to minimize any impact on User’s operations.
14. End of Service
A subscriber may terminate their use of the services at any time by closing their account through the platform's self-service options or by notifying us in writing at support@papertracc.com. Upon receipt of the termination notice, the User’s subscription will continue until the end of the then current Subscription Period, at which point access to the Services will automatically cease, and no further charges will apply. If a User or Subscriber requires data migration assistance and wishes to export their information before closure or needs to fully delete their account with PaperTracc, PaperTracc recommends contacting the support center promptly at support@papertracc.com. Our team will guide you through the process, including providing any necessary forms or documentation upon request, to ensure a smooth and compliant transition. Please allow a reasonable time for processing, as we prioritize the secure handling of your data in accordance with applicable privacy regulations. We are here to make this as straightforward as possible.
15. Indemnification
Users agree to indemnify, defend, and hold harmless PaperTracc, its affiliates, shareholders, officers, directors, employees, agents, partners, and service providers (the "Indemnified Parties") against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from: • User’s breach of these Terms or applicable laws; • User’s misuse of the Website, Application, or Services; • Infringement of third-party rights; or • User’s negligence or misconduct. Users will cooperate in defending any such claim at his/her expense and notify PaperTracc promptly. PaperTracc may assume defense at its discretion, and you may not settle without our consent. This obligation survives termination.
16. Disclaimers
A User or Subscriber's use of PaperTracc products and services on its website/Application, and the data supplied to us, is at his/her sole discretion. PaperTracc website and all content therein are provided to a subscriber as they become available are not subject to any warranties or quality assurance. PaperTracc expressly disclaims all other warranties of any kind, relating to its website, content, and/or user information, including warranties of title, usability, fitness for a particular purpose, non-infringement of proprietary rights, and course of performance; provided, however, that the Services will substantially conform to their description for from access, and data processing complies with the Nigeria Data Protection Act 2023 ("NDPA") and its General Application and Implementation Directive (GAID) 2025. If a provision of This Agreement is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.
